Interim CEO

When circumstances require a change in executive leadership, a Second Mesa principal assumes full operating authority and responsibility for the business. The mandate is to assess the situation, establish priorities, stabilize the enterprise, make consequential decisions, and lead execution until the objectives of the engagement are achieved or permanent leadership is in place.


Chief Restructuring Officer

When a business faces financial distress, a liquidity crisis, restructuring, insolvency, or Chapter 11, a Second Mesa principal assumes the authority and responsibility required to lead the business through the situation. The mandate is to assess viability and strategic alternatives, establish control over immediate priorities, make consequential decisions, align the relevant constituencies, and lead execution of the restructuring or other path that best preserves enterprise value.


Independent Director

When a board requires additional experience, independent judgment, and oversight during a distressed or special situation, a Second Mesa principal serves as an Independent Director. The mandate is to provide objective governance and exercise independent judgment as the board evaluates strategic alternatives, discharges its fiduciary responsibilities, oversees management and restructuring activities, and makes consequential decisions affecting the future of the enterprise.


Board Advisor

When a board confronts significant financial, operational, strategic, governance, or leadership challenges, a Second Mesa principal serves as Board Advisor. The mandate is to provide directors with experienced, independent judgment as they assess the situation, evaluate alternatives, oversee management, and make consequential decisions.
